Schedule 1: JourneyWise Service Specific Terms

Incorporated by reference into the JourneyWise Commercial Terms of Service

A. General

This Schedule sets out additional terms that apply to specific features of the Services. Capitalised terms not defined in this Schedule have the meaning given in the Terms. In the event of a conflict between this Schedule and the Terms, this Schedule governs with respect to the specific feature it addresses.

B. Beta Features

Certain features of the Services may be made available on a pre-release, beta, or early-access basis (“Beta Features”). This means they may not be suitable for production use and are provided “as is” on a temporary basis. JourneyWise is not responsible for Customer's use of or reliance on Beta Features and is not obligated to provide any indemnity for their use. JourneyWise's liability relating to Beta Features is limited to the lesser of £500 and the Fees paid by Customer for the Services in the previous 12 months. JourneyWise may modify or discontinue a Beta Feature at any time, including before it reaches general availability.

C. Custom Scoring and Configuration Services

JourneyWise may offer features that let Customer configure or calibrate lead scoring, ICP matching, or enrichment logic using Customer's own data, criteria, or feedback (“Custom Scoring Services”, and any resulting configuration, a “Custom Scoring Profile”). Customer's inputs used to build a Custom Scoring Profile (for example, won/lost deal data, ICP criteria, or manual scoring corrections) are Customer Data. A Custom Scoring Profile is specific to Customer's account, is not shared with or applied to any other customer, and is deleted or made inaccessible on termination of Customer's subscription unless the parties agree otherwise in writing. Customer's use of Custom Scoring Services does not, by itself, grant JourneyWise any rights to use Customer Data beyond what is needed to build and apply Customer's own Custom Scoring Profile.

D. Integration and Marketplace Distribution

General

JourneyWise may make the Services available through, or interoperable with, third-party platforms such as app marketplaces, integration directories, or partner ecosystems (each, a “Marketplace Platform”, and its operator, a “Marketplace Provider”). JourneyWise is not responsible for a Marketplace Platform or for other services Customer receives from a Marketplace Provider, and changes made by a Marketplace Provider may affect Customer's use of the Services accessed through that platform. Customer must comply with the applicable Marketplace Provider's own terms when accessing the Services that way.

Fees via Marketplace Platforms

Where Customer purchases the Services through a Marketplace Platform, Customer will pay the applicable fees to the Marketplace Provider at JourneyWise's then-current published rates for that channel, unless otherwise agreed in writing.

E. Product Improvement Program

Customer may elect, in its sole discretion, to enable a setting that allows JourneyWise to use Customer Data to improve scoring models, enrichment logic, or conversation intelligence features across the Services generally, rather than solely for Customer's own account (“Product Improvement Mode”). Product Improvement Mode is off by default. If enabled, JourneyWise will use Customer Data submitted while the setting is active only in aggregated or de-identified form, or as otherwise described in JourneyWise's privacy notice, and Customer may disable Product Improvement Mode at any time, which will stop future use but will not retroactively remove data already incorporated into aggregate improvements.

Some Platform Outputs (including call summaries, transcription, and conversation insights) are generated using third-party AI models that JourneyWise integrates into the Services (“Underlying AI Providers”). Customer Data submitted to generate these Platform Outputs is processed by the applicable Underlying AI Provider solely to generate the requested output for Customer, under contractual terms consistent with the confidentiality and data protection commitments in the Terms and the DPA, and is not used by JourneyWise or any Underlying AI Provider to train models for the benefit of other customers. JourneyWise will maintain a current list of Underlying AI Providers, available on request or at [journeywise.io/subprocessors].
